1. Introduction
These are the terms and conditions that apply to services offered by Dandelion Mindful
Education Pty Ltd ABN 48 657 704 624 (may also be referred to as "the Dandelion", “We”, “Us”
or “Our”). These terms and conditions are to be read together with any services agreement
and any other written agreements between us. These documents together form Our entire
agreement.
Please read these Terms and Conditions carefully, as they govern your use of Our services.
By accessing or using Our Services, You agree to comply with and be bound by these Terms
and Conditions.
2. Definitions
“Services” means educational and holistic counselling services, programs and workshops and
any other services provided by Us.
“You” means any individual or entity using our Services.
“Quote” means the quote provided by Us and accepted by You outlining the costs for Our
Services, subject to change based on any additional requirements or specifications provided
by You and issued by Us at any time.
3. Acceptance of Terms
By using Our Services, you agree to these Terms and Conditions. If You do not agree, please
do not use Our Services.
4. Services
The Dandelion offers mindful education and holistic counselling services to families and staff
within the education sphere with the aim at providing support in managing challenging
behaviours in children. The details of these services, including prices and schedules, are

By engaging our Services, You agree that the Dandelion is not to be held liable for any
decisions You make based on information or guidance provided by Us. The information
provided during our Services is for educational purposes only and does not constitute legal, or
health advice. While every effort has been made to ensure the accuracy and completeness of
the information, it is not intended to replace professional legal or health consultation. Users
are advised to seek appropriate legal and other professional advice tailored to their specific
circumstances before taking any action based on the information provided by Us. The author
and publisher disclaim any liability for any loss or damage incurred by use of or reliance on the
information contained herein or throughout the utilisation of Our Services.
5. Payment
You agree to pay Us the fees specified in the Quote for Services provided. Upon Services
being rendered, We will issue an invoice to You via your designated billing address or email
(“the Invoice”). All payments are due within 7 days from the date of the Invoice unless otherwise
agreed in writing by both Parties (“Due Date”).
At the Dandelion’s discretion a deposit may be required. The deposit amount or percentage
of the Quote will be stipulated at the time of the quotation for the Services and shall become
immediately due and payable and in any event before the Services commence.
If You fail to make any payment by the Due Date, We reserve our right to charge interest on
the overdue amount at the rate of 4% per annum above the Reserve Bank of Australia’s cash
rate from time to time, calculated daily from the Due Date until the date of payment. We may
suspend the provision of Services until all outstanding payments are made.
6. Cancellation and refund policy
We will only provide You with a refund of payment in the event We are unable to continue to
provide the Services or We make a decision in our absolute discretion, that it is unreasonable
to do so under the circumstances.
7. Intellectual Property
All intellectual property (including copyright) developed, adapted, modified or created by Us or
Our personnel, including but not limited to Our resources being Our written content, videos,
webinars, seminars, guides, tools, tips and email communication with Us or other materials in
connection Our Services (“Content”) will at all times vest, or remain vested, in Us.
All Content provided by Us is protected by intellectual property laws. You may not reproduce,
distribute or create derivate works from any content without Our written permission.
8. Consent to Use Photographs
By attending or participating in any event or activity organised by Us, You consent to the
following:
a) Photographing and Recording: We may take photographs, video recordings, or other
forms of media capturing You during the event or activity.
b) Use of Photographs: The Dandelion is granted the right to use, reproduce, and publish
the photographs or recordings in any media, including but not limited to social media,
websites, promotional materials, and advertisements.
c) No Compensation: You acknowledge that You will not receive any compensation,
monetary or otherwise, for the use of the photographs or recordings.
d) Editing and Alteration: The Dandelion reserves the right to edit, alter, or modify the
photographs or recordings as it deems appropriate, without approval.
You may revoke your consent by providing written notice to the Dandelion. However, the
revocation will not apply to any use of the photographs or recordings that occurred prior to the
receipt of the revocation notice.
The Parties agree that any images or videos containing children that are used in any
promotional, marketing, or other materials will have the children’s faces and any identifying
features blurred or otherwise obscured to protect their privacy. The Parties shall ensure that these
measures are taken in compliance with all applicable privacy laws and regulations.
The Dandelion will not be liable for any claims, demands, or damages arising out of or in
connection with the use of the photographs or recordings as permitted under these Terms and
Conditions.
9. Limitation of Liability
The Dandelion is not liable for any direct, indirect, incidental, or consequential damages arising
from the use of Our Services. This includes but is not limited to damages for loss of profits,
goodwill, use, data, or other intangible losses.
10. Indemnity
You agree to indemnify the Dandelion, its affiliates, employees, agents, contributors, third
party content providers and licensors from and against:
a) all actions, suits, claims, demands, liabilities, costs, expenses, loss and damage
(including legal fees on a full indemnity basis) incurred, suffered or arising out of or in
connection with Our Content;
b) any direct or indirect consequences of You accessing, using or transacting with our
Services;
c) breach of the Terms and Conditions; and/or
11. breach of Our Privacy Policy.
You warrant that you will procure and maintain in full force and effect, insurance coverage for
third-party liability. The insurance policy shall provide coverage for any and all claims,
damages, losses, and expenses, including but not limited to legal fees, arising out of or
resulting from engagement in Our Services and acknowledge and accept that you will take on
all liability with respect to the provision of Our Services at any time.

12. Governing Law
You acknowledge that these Terms and Conditions are governed by and construed in
accordance with the laws of Queensland, Australia. Any disputes arising out of or in connection

Queensland, Australia.
13. Disputes
Neither party may commence court proceedings relating to any dispute arising from, or in
connection with, these Terms and Conditions without first meeting with the other party to seek
(in good faith) to resolve that dispute (unless that party is seeking urgent interlocutory relief or
the dispute relates to compliance with this clause).
14. Changes to Terms and Conditions
The Dandelion reserves the right to modify these Terms and Conditions at any time, notice of
which will be given to You via your nominated email address. Your continued use of Our
Services constitutes your acceptance of the revised Terms and Conditions.
